Important Notice
These Terms of Service ("Terms") constitute a legally binding agreement between Yaxin Carbon Co., Ltd. ("Yaxin Carbon," "we," "us," or "our") and any business entity, purchasing agent, or authorized representative ("Client," "you," or "your") engaging in commercial transactions for the procurement of carbon brick products and related industrial materials. By placing an order, executing a purchase agreement, or accessing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Acceptance of Terms
By accessing the Yaxin Carbon website, submitting a request for quotation (RFQ), placing a purchase order, or entering into any commercial agreement with Yaxin Carbon, you confirm your unconditional acceptance of these Terms. These Terms apply to all transactions, whether conducted online, via written correspondence, or through direct sales representatives.
If you are entering into these Terms on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not proceed with any transaction.
Yaxin Carbon reserves the right to modify these Terms at any time. Continued engagement with our services following notification of changes constitutes acceptance of the revised Terms. We recommend that clients review these Terms periodically.

Products & Services
Yaxin Carbon manufactures and supplies a range of high-performance carbon brick products designed for industrial applications including metallurgical furnaces, blast furnaces, aluminum reduction cells, chemical processing vessels, and other high-temperature industrial environments.

Product specifications, dimensions, and technical parameters are provided in our official technical datasheets. Yaxin Carbon reserves the right to modify product formulations or specifications to improve performance, provided that such modifications do not materially affect the agreed-upon performance standards. Clients will be notified of any significant specification changes prior to fulfillment.
All product imagery, technical illustrations, and descriptive content on our website and marketing materials are for informational purposes only. Actual products may vary slightly from representations. Binding product specifications are those contained in the confirmed purchase order and accompanying technical documentation.
Procurement Process
Orders & Procurement
All orders must be submitted in writing via purchase order, email confirmation, or through our designated procurement portal. Verbal commitments do not constitute binding orders. A purchase order is considered accepted only upon written confirmation from an authorized Yaxin Carbon representative.

Order Confirmation & Production
Written order confirmation issued; production scheduling commences upon receipt of deposit
Order cancellations must be submitted in writing no later than 72 hours after order confirmation. Cancellations received after production has commenced may be subject to cancellation fees covering material costs, labor, and production overhead incurred up to the point of cancellation. Custom-engineered orders are non-cancellable once production has begun.
Minimum order quantities (MOQ) apply to certain product lines and will be specified in the quotation. Orders below the stated MOQ may be accepted at the discretion of Yaxin Carbon and may be subject to a small-order surcharge.
Financial Terms
Payment Terms
Standard payment terms for new clients require a 30% deposit upon order confirmation, with the remaining 70% payable prior to shipment. Established clients with approved credit accounts may be eligible for net 30 or net 60 payment terms, subject to credit review and approval.
All invoices are denominated in the currency specified in the purchase agreement. Yaxin Carbon accepts payment via bank wire transfer (T/T), letter of credit (L/C), and other methods as mutually agreed upon in writing. All bank charges and transfer fees are the responsibility of the Client.

Overdue payments will accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until full payment is received. Yaxin Carbon reserves the right to suspend production or withhold shipment of pending orders if any outstanding invoices remain unpaid beyond their due date.
All prices are exclusive of applicable taxes, duties, customs fees, and levies unless explicitly stated otherwise. The Client is responsible for all import duties, value-added taxes, and other government-imposed charges applicable in the destination country.
Logistics
Delivery & Shipping
Delivery timelines are estimates based on production scheduling and logistical conditions at the time of order confirmation. Yaxin Carbon will make reasonable efforts to meet agreed delivery dates; however, delivery dates are not guaranteed and do not constitute a binding commitment unless explicitly stated as a firm delivery date in the purchase agreement.
Unless otherwise agreed in writing, all shipments are made EXW (Ex Works) from Yaxin Carbon's manufacturing facility. The Client assumes all risk of loss or damage to goods upon collection by the designated carrier. Yaxin Carbon can arrange freight forwarding services on behalf of the Client at the Client's cost and risk.
Carbon brick products are heavy industrial materials requiring specialized packaging and handling. Yaxin Carbon will package products in accordance with industry standards for international freight. Any special packaging, crating, or handling requirements must be specified at the time of order and may incur additional charges.
Yaxin Carbon shall not be liable for delays caused by circumstances beyond its reasonable control, including but not limited to natural disasters, labor disputes, government actions, transportation disruptions, raw material shortages, or force majeure events. In such cases, Yaxin Carbon will notify the Client promptly and work to reschedule delivery at the earliest practicable date.
Compliance
Quality & Standards
Yaxin Carbon is committed to delivering products that meet or exceed the technical specifications agreed upon in the purchase order. Our manufacturing processes comply with applicable national and international industrial standards, including ISO 9001 quality management systems.
Each production batch undergoes rigorous quality control testing, including analysis of physical properties (bulk density, apparent porosity, cold crushing strength), thermal properties (thermal conductivity, refractoriness under load), and chemical composition. Test reports and certificates of conformity are provided with each shipment upon request.
Quality Assurance Parameters
The Client is responsible for verifying that the products ordered are suitable for their intended application. Yaxin Carbon provides technical guidance and application support; however, the final determination of product suitability for a specific industrial application remains the responsibility of the Client and their qualified engineering personnel.
Product Assurance
Warranty & Returns
Yaxin Carbon warrants that all products will conform to the agreed technical specifications at the time of shipment. This warranty is valid for a period of twelve (12) months from the date of delivery, subject to the conditions outlined below.
The warranty does not cover defects or failures arising from improper installation, misuse, unauthorized modification, operation outside specified temperature or load parameters, chemical exposure not covered by the product specification, or normal wear and tear in high-temperature industrial applications.

Damage resulting from improper installation, exceeding rated operating conditions, or unauthorized modifications

Expected degradation from high-temperature industrial use, thermal cycling, and normal service life consumption
Warranty claims must be submitted in writing within 30 days of discovering the defect, accompanied by detailed documentation including photographic evidence, batch numbers, delivery records, and a description of the defect and operating conditions. Yaxin Carbon will evaluate the claim and, if validated, will at its option repair, replace, or issue credit for the defective products.
Returns require prior written authorization from Yaxin Carbon. Unauthorized returns will not be accepted. Authorized returns must be shipped freight prepaid in original or equivalent protective packaging. Products that have been installed, used, or altered are not eligible for return unless covered under warranty.
Legal Protections
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Yaxin CARBON'S TOTAL LIABILITY TO THE CLIENT FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR ANY TRANSACTION HEREUNDER SHALL NOT EXCEED THE TOTAL PURCHASE PRICE PAID BY THE CLIENT FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.
In no event shall Yaxin Carbon be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of production, business interruption, loss of data, or costs of substitute products, even if Yaxin Carbon has been advised of the possibility of such damages.
Yaxin Carbon shall not be liable for any damages arising from the Client's failure to follow installation guidelines, operating instructions, or recommended maintenance procedures provided by Yaxin Carbon's technical team.
The limitations of liability set forth in this section shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall survive the termination or expiration of these Terms.
Ownership Rights
Intellectual Property
All intellectual property rights in Yaxin Carbon's products, manufacturing processes, formulations, technical documentation, website content, trademarks, and trade names are and shall remain the exclusive property of Yaxin Carbon or its licensors. No purchase of products conveys any license or right to Yaxin Carbon's intellectual property.
The Client may not reverse engineer, decompile, analyze the chemical composition of, or attempt to reproduce Yaxin Carbon's proprietary product formulations without express written consent. Any unauthorized analysis or reproduction of Yaxin Carbon's products constitutes a violation of these Terms and may result in legal action.
Where products are manufactured to the Client's proprietary specifications or drawings, the Client warrants that such specifications do not infringe upon any third-party intellectual property rights, and the Client shall indemnify Yaxin Carbon against any claims arising from such infringement.
Information Security
Confidentiality
Each party acknowledges that in the course of their business relationship, they may receive confidential information belonging to the other party, including but not limited to technical specifications, pricing, formulations, business strategies, customer lists, and manufacturing processes ("Confidential Information").
Each party agrees to maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Neither party shall disclose Confidential Information to third parties or use it for any purpose other than fulfilling obligations under these Terms without prior written consent.
Confidentiality obligations shall survive the termination of these Terms for a period of five (5) years. These obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order, provided the disclosing party provides prompt written notice to the other party.
Jurisdiction
Governing Law
These Terms and all transactions conducted hereunder shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. For international transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply where relevant.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall first be subject to good-faith negotiation between the parties. If negotiation fails to resolve the dispute within 30 days, the parties agree to submit the dispute to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules.
The arbitration shall be conducted in Mandarin Chinese, unless both parties agree otherwise in writing. The arbitral award shall be final and binding upon both parties. Nothing in this section shall prevent either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

Acknowledgment
By engaging in any commercial transaction with Yaxin Carbon Co., Ltd., you confirm that you have read, understood, and agree to be bound by these Terms of Service in their entirety. These Terms constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior negotiations, representations, warranties, and understandings of the parties.
